Position Summary

The Corporate Governance Securities and Compliance Paralegal provides support to the In-House Legal Team and Executive Leadership on a wide range of corporate governance, securities and compliance related matters, including regulatory compliance, SEC filings and disclosures, and business licensing. This position reports to the General Counsel and works closely with other internal counsel and functional departments and may coordinate with external counsel as necessary.



Responsibilities

Key Tasks & Responsibilties:

    Support the Executive Leadership in preparation for and organization of Board Meetings including Audit, Compensation and Governance Committee meetings, including all supporting materials, minutes and resolutions. Track Section 16 compliance and reporting for Board and NEOs.
  • Support the Chief Legal Officer in drafting shareholder and board resolutions and maintain signature records for all entities.
  • Assist with SEC filings and preparation of Proxy Statement.
  • Conduct legal research, due diligence, and risk assessments related to securities transactions, investments, and other corporate activities.
  • Assist with the aspects of Company's insurance program
  • Manage corporate entities, licenses and renewals
  • Assist and support legal document preparation to enter new markets
  • Other work duties as assigned

Knowledge, Skills & Abilities:

  • Strong problem solving, decision making, research, writing, and analytical skills.
  • Ability to work with complex legal and financial documents.
  • Detail-oriented with the ability to manage multiple projects and deadlines.
  • Ability to work both independently and as part of a team.
  • Excellent communication skills, both written and verbal and the ability to appropriately handle highly confidential information
  • Ability to proactively collaborate across corporate functional teams.
  • Proficiency in the use of Microsoft Office Suite (Word, Outlook, Access, PowerPoint & Excel)
  • Ability to effectively organize and prioritize work in a timely manner
  • Experience developing collaborative working relationships with internal business unity clients and outside counsel


Requirements

Education:

  • Bachelor's degree, JD or LLM
  • Minimum five (5)+ years of experience
  • Minimum five (5) years of experience conducting legal research.
  • 2-4 years of experience in securities law or corporate law, particularly in SEC compliance, board and corporate governance, capital markets or regulatory enforcement.

  • Occasional domestic and international travel may be required for meetings, training, or business support.
  • Work involves handling multiple tasks with competing deadlines and frequent interruptions.
  • This position is in-office in the Galleria area of Houston, Texas.
  • Must be able to remain in a stationary position for extended periods of time while working on a computer.
  • Frequently operates standard office equipment such as computers, phones, printers, and copiers.
  • Requires frequent communication with employees, managers, and external partners, necessitating clear verbal and written communication skills.
