Position Summary

Provides a variety of advanced and standard administrative duties and staff-support services for the corporate Legal Department. Will generate and maintain confidential files and reports. Exercises discretion, confidentiality, follow-through, and a high level of proficiency and reliability in performing assigned tasks. A member of a collegial and highly effective Legal Department, the Paralegal works in close collaboration with other Oceaneers across business units and functional departments to enable business and maximize profit in furtherance of the Company's strategic objectives and within its Mission, Vision, and Values, with the oversight of the Sr. Manager, Legal Services.

LOCATION:

  • Role provides the opportunity to work in a hybrid environment, working both virtually and in office in Houston, Texas when required.
  • Initial requirement of 4 to 5 days per week in office to coordinate with the team, then stepping down to 3 days in office.

Duties And Responsibilities

ESSENTIAL :

  • Assist with corporate secretarial duties and minute books.
  • Manage the renewal process of necessary licenses, permits and relevant qualifications of entities in assigned jurisdictions.
  • Maintain records and assist with filings of annual returns and other statutory filings as required.
  • Maintain and update the Company's subsidiary entity information in the Company's chosen database.
  • Arrange the notarization and legalization of documentation including liaising with notary publics and embassy staff globally.
  • Provide support to the Legal Department and other company stakeholders in transactional matters, such as preparing powers of attorney or responding to customer due diligence requests and performing due diligence on customers, suppliers and other third parties.
  • Organize and maintain the virtual file system database and physical Legal file room, including creating new files and archiving older files.
  • Compose and send routine correspondence.
  • Assist with the establishment and liquidation of subsidiary entities and branches, as required.
  • Assist with new country entry ensuring that legal requirements are understood by the relevant stakeholders.
  • Assist with the adoption of processes and development of automation within the Legal Department, including identifying recurring tasks with respect to the Company's legal subsidiaries and maintaining such information in the Company's chosen database.
  • Support the Legal Department with litigation management, including calendaring key deadlines, maintaining pleadings and other filings, coordinating discovery responses with other stakeholders, and compiling and reviewing e-mail and other electronic records.
  • Provide administrative assistance to the Legal Department.
  • Coordinate projects led by Legal and Contracts personnel, including maintaining project plan, recording action items, and scheduling meetings.
  • Compose and send routine correspondence.
  • Assist with Legal Department administration, including matter management, budgets, and interfacing with outside counsel and other vendors.
  • Support the Legal Department with other tasks as requested.

NON-ESSENTIAL:

  • Conduct research and draft and compile reports, as necessary.
  • Update the Legal Library, as needed.

Qualifications

REQUIRED:

  • Associates Degree in Legal Studies or other relevant field, and/or has a paralegal certificate.
  • Minimum of two years of relevant experience, including as a paralegal, legal secretary, or legal assistant.
  • Proficient with Microsoft Office Suite: Word, Excel, PowerPoint.

DESIRED:

  • Bachelor's Degree or equivalent certification or education preferred.
  • Experience in related industries, such as energy, technology or manufacturing.
  • Experience with matter management software and litigation holds preferred.

  • Ability to read and compose short correspondence and memoranda.
  • Ability to focus on details, including maintaining schedules and proofreading documents.

  • Must be able to handle multiple projects across multiple time zones.

  • Must be able to anticipate and prepare for upcoming events ensuring adequate resources are available.
  • Able to use standard IT tools, including MS Office and cloud-based platforms.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.
