Job Summary

This position is within the UC Davis Health (UCDH) Health Contracts (HC) Office with primary responsibility under the Clinical Trials unit of the HC Office. The incumbent works independently and proactively with decision-making responsibility under the general supervision of the UCDH Contracts Manager. Assists faculty and administrative units to develop proposals for clinical trial contracts. The majority of this position involves negotiating and managing low to moderately complex clinical trial agreements. However, incumbent will be responsible for a wide range of contracting responsibilities including developing contracts (or negotiating agreements presented by non-UC parties), amendments, and ancillary documents for (1) clinical trials (2) specialized government grant program services, and (3) other health affairs activities as needed. Incumbent negotiates and drafts documents and administers/implements the contract during its life. The incumbent negotiates contracts in compliance with federal and state law and University policy related to health care contracting. As changes in federal law, state law and University policy occur from time to time, incumbent monitors contracts to ensure continued compliance. Incumbent provides information and training to UCDH staff in the preparation, negotiation and administration of health care contracts through a variety of means.

Minimum Qualifications - For full consideration, applicants are encouraged to upload license and/or certification if required of the position

  • Bachelor's degree in related area and/or equivalent experience/training
  • Experience and skills in negotiating healthcare and clinical trial related contracts following appropriate policies, procedures, rules and regulations and/or equivalent experience, training, and education in the legal and healthcare field.
  • Experience analyzing and drafting contracts and contract budgets following appropriate policies and procedures.
  • Must possess excellent time management skills and be able to maintain composure in adverse situations.
  • Knowledge of databases and electronic communication.
  • Demonstrated ability to assimilate new information and experience rapidly, recall knowledge acquired previously and apply it appropriately to new situations so as to maximize incumbent's use of time and ability to assist clientele.
  • Demonstrated ability to maintain composure under stress sufficient for effective performance under such pressures as heavy workload, conflicting priorities or other demands, and lack of cooperation from others.
  • Demonstrated ability to exercise personal initiative and maintain a sense of self-confidence sufficient to enable incumbent to accept responsibility for decisions, attempt difficult or unfamiliar tasks, present recommendations persuasively, and provide and receive advice effectively.
  • Demonstrated ability to work independently, prioritize work and take initiative in dealing with assignments.

  • Demonstrated ability to effectively and professionally communicate (both orally and in writing) with a wide variety of people as well as with internal faculty and staff at UC Davis and UCDH.

Preferred Qualifications

  • Legal experience, education and/or comparable degree preferred.
  • Demonstrated intermediate experience developing innovative solutions to difficult or unusual problems, create new and improved methods of performing tasks, and respond in a flexible rather than "programmed" manner to inquiries and requests for assistance in solving problems.
  • Knowledge of certain programs and policies of state, federal, and local governments required to prepare and negotiate contracts and clinical trial agreements.
  • Knowledge of pertinent University policies and procedures that fall within scope of the position and are related to University health programs or clinical trials.

Department Overview

Clinical Trials Contracts negotiates industry-funded clinical trial agreements UC Davis Health and the School of Medicine.
Health Affairs Contracts processes numerous types of agreements for UC Davis Health (Hospital, School of Medicine, and School of Nursing).

Department Specific Job Scope

Clinical Trial Contract and Budget Reviews (80%):
Negotiate and draft master clinical trial agreement task orders, template agreements, subagreements, confidentiality agreements for clinical trial protocols, amendments to clinical trial agreements and clinical trial agreements as assigned by the UCDH Contracts Office; perform and present appropriate analysis and diligence during contract negotiation/development.
Ensure contract and budget terms comply with federal & state law, municipal code and University policy.
Once acceptable terms are negotiated, review all negotiated contracts for approval by the UCDH Contracts signatory.
Serve as clinical trial liaison among faculty/staff, campus administrators and government/private entities; work closely with faculty and internal/external units to develop projects/proposals in compliance with legal, regulatory, and policy guidelines; provide direction, guidance and advice to UCDH faculty/staff and to public and private entities with relationships with UCDH to resolve clinical trial contract issues. Provide guidance to UCDH staff on budget development, including analysis of appropriate fees and costs for protocol procedures and invoiceables, and developing an internal budget.
Work closely with external contracting party, University faculty/staff, University regulatory and financial departments and public authorities regarding post-agreement clinical trial contract administration; use best efforts to resolve any disputes, provide for appropriate allocation of liability, and provide for and document all changes in the contract through written amendment, as assigned by UCDH Contracts Office.
Serve as back up to other clinical trial contract analysts in the UCDH Contracts Office.

Outreach and Training (10%):
Communicate any policy, procedure or program changes in area of primary responsibility to relevant parties and assist in implementation as assigned by UCDH Contracts Office.
Develop and present workshops for UCDH and campus to inform and clarify UCDH contracting and budget policy/procedure changes; represent UCDH Contracts Office at workshops and seminars; participate in and present at campus, regional and professional meetings in areas of primary and secondary responsibility.

Policy/Procedure Development, Review, Implementation (5%):
Develop and maintain database on federal, state, and municipal law/policy related to clinical trial and health affairs contracts. Work with UCOP, UC Healthcare Contracts Offices, campus billing groups, the Office of Research and regulatory departments to interpret federal, state and municipal policy changes.
Draft and review policy and procedure in areas directly or tangentially related to primary responsibility.

Business Contracting - Health Affairs Contracts (5%):
Negotiate professional, medical, hospital, specialized program service and affiliation agreements; draft contracts (or modify external party contracts, as necessary) and related documents as assigned by the UCDH Contracts Office; perform and present appropriate analysis and diligence during contract negotiation/development.
Ensure contract and payment terms comply with federal & state law, municipal code and University policy.
Once acceptable terms are negotiated, approve all contracts for review by the UCDH Contracts Manager or delegate.

Work Environment

UC Davis is a smoke and tobacco free campus effective January 1, 2014.
