Corporate Contracts Manager

The Corporate Contracts Manager serves as the company's lead authority for federal contract administration and compliance. This position manages the full lifecycle of prime contracts, subcontracts, and joint ventures, ensuring adherence to Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), agency-specific clauses, and company policies. The Contracts Manager provides guidance to executives, program managers, and business development teams on contract interpretation, risk, pricing, subcontractor management, and joint venture governance to support successful execution and growth of the company's federal business portfolio.

Key Responsibilities

Contract Administration & Compliance

* Oversee the administration of prime contracts with federal agencies, including modifications, option years, funding actions, and closeouts.

* Draft, review, and negotiate subcontracts, joint venture agreements, and other binding agreements with subcontractors and partners.

* Ensure compliance with FAR, DFARS, GSA schedules, agency supplements, JV operating agreements, and company policies.

* Maintain accurate and complete contract files, documenting modifications, correspondence, JV governance records, and performance records.

Negotiation & Risk Management

* Support negotiations with government contracting officers, prime contractors, subcontractors, and JV partners to secure favorable terms and mitigate corporate risk.

* Review solicitations and provide guidance on terms, conditions, and risk factors during proposal development, including JV participation requirements.

* Advise executive leadership on contractual obligations, risks, and opportunities related to JVs and their associated contracts.

* Resolve disputes, claims, and performance issues with subcontractors, government customers, or JV partners.

Subcontractor & Joint Venture Oversight

* Develop, issue, and manage subcontract agreements that align with prime contract flow-down requirements.
